Terms of service

Effective July 28, 2026

These terms govern access to the Operlay website, Warranty Credit Recovery Audit, and Recovery Ledger service. A written order or statement of work may add or replace commercial terms for a particular engagement. If you use Operlay for an organization, you represent that you can accept these terms for it.

The service

Operlay is an operations ledger and guided service for recording warranty cases, evidence, failed-part custody, follow-up tasks, human-recorded vendor decisions, and credit transactions. Operlay is not a manufacturer, distributor, warranty administrator, accounting system, law firm, insurer, or substitute for professional advice.

Warranty Credit Recovery Audit

The US$500 audit is a bounded review of customer-authorized records under a written scope. Depending on the records supplied, it may include review of open and historical warranty-credit items, an assessment of missing, aging, short-paid, or unreconciled items, initial workspace setup, in-scope case import or entry, evidence and failed-part custody review, a findings summary, a recommended workflow, and guided onboarding. Findings are limited by the completeness and accuracy of the supplied records.

Customer responsibilities

You are responsible for having authority to provide the records, verifying their accuracy, determining warranty eligibility, meeting submission and return deadlines, communicating with vendors, safeguarding and returning physical parts, approving submissions and appeals, and determining accounting and tax treatment. Operlay does not autonomously submit or appeal claims and does not guarantee approval, recovery, timing, or amount.

Accounts and guided onboarding

Workspace access is provided through guided onboarding after Operlay confirms the engagement and required safeguards. You must provide accurate account information, protect credentials, and promptly remove users who should no longer have access. An account is not active solely because a payment page redirects successfully; payment and entitlement status must be confirmed by the billing system.

Acceptable use

Use Operlay only for lawful warranty-credit operations and only with information you are authorized to process. You must not upload malicious code, executable files, payment-card data, passwords, regulated health information, or unrelated sensitive personal information; probe or bypass access controls; access another workspace without permission; overload or interfere with the service; misrepresent an identity or claim decision; resell access without written permission; or use Operlay in violation of law or third-party rights.

Your data and confidentiality

You retain rights in information you submit. You grant Operlay the limited permission needed to host, secure, back up, transmit, and otherwise process it to provide the service. Workspace owners control membership, export, and retention requests, subject to law and contractual obligations. Each party should protect non-public information received from the other using reasonable care and use it only for the engagement, except where disclosure is authorized or legally required.

AI-assisted operations

Operlay does not use AI to make warranty-eligibility decisions, approve or deny claims, or autonomously submit or appeal them. Human-reviewed assistive tools may support drafting and internal operations, but their output is not a warranty decision, professional advice, or binding commitment. You remain responsible for reviewing operational records and decisions.

Fees and monthly renewal

Displayed prices are US$500 one time for the Warranty Credit Recovery Audit, US$249 per month for Ledger, and US$699 per month for Recovery Ops. There is no annual plan or discount unless a later written order expressly adds one. Monthly plans renew each month until cancelled. Applicable taxes and the exact payment schedule will be shown in Checkout or a written order before payment.

Cancellation and refunds

You may cancel a monthly plan before its next renewal through the available billing portal or by contacting support@operlay.com. Unless a written order states otherwise, cancellation takes effect at the end of the current paid period and monthly fees are not prorated or refunded except where required by law.

For the one-time audit, the written scope identifies when substantive review begins. A cancellation received before that work begins may be refunded; after substantive review begins, the audit fee is non-refundable except where required by law or the written scope states otherwise. Operlay may issue a refund or service credit at its discretion without creating an obligation to do so in another case.

Support

Routine service support and onboarding are available from Operlay at support@operlay.com. No response or resolution time is guaranteed unless a written order includes a service level.

Suspension and termination

Operlay may suspend access as reasonably needed to protect the service, users, or third parties; respond to unlawful or prohibited use; address a security risk; or address nonpayment. Either party may end an unpaid engagement at any time. Paid termination rights follow these terms and any applicable written order. Where feasible, workspace owners may request an export before access ends, subject to security, law, and payment status.

Warranty disclaimer

To the extent permitted by law, the service is provided “as is” and “as available.” Operlay disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. Operlay does not warrant uninterrupted operation, error-free data, or any claim outcome. Rights that cannot legally be disclaimed are unaffected.

Liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages or lost profits, revenue, data, or warranty credits. Operlay's aggregate liability arising from the service will not exceed the fees paid for the affected service during the three months before the event giving rise to the claim. Limits that cannot legally apply do not apply.

Changes and contact

Operlay may update these terms prospectively. Material changes will be communicated through the service, email, or an updated effective date as appropriate. A written order may specify governing law and formal notice terms for that engagement.
